ELECTRONIC ATTENDANCE

Members of the board may attend, participate in, and vote in board meetings through use of conference telephone, electronic video screen communication, or electronic transmission. Corp. Code §7211(a)6

Participation in a meeting through use of conference phone or video screen constitutes presence in person at that meeting as long as each member:

• can communicate with all other members concurrently, and

• can propose and object to actions

If a director is unable to attend a meeting but wishes to attend by phone, every effort should be made by the board to provide a speaker phone so the director can attend the meeting.
